B2B PROJECT TERMS
The commercial framework for Mifaktory sampling, custom product development and bulk manufacturing projects.
MIFAKTORY LIMITED supplies custom product-development, sampling and manufacturing services on a business-to-business basis. A quotation, sample approval, purchase order or written order confirmation forms the project-specific commercial record and may contain additional terms agreed by the parties.
Samples are payable in full before sampling begins. For bulk production, a 50% deposit is required to start production. The remaining balance is due after the order is completed and before shipment. Production, delivery and release of goods may be delayed until applicable payments are received.
The buyer is responsible for confirming the final product specification, artwork, colours, materials, measurements, labels, packaging and compliance requirements before bulk production. Approved samples, signed specifications and written confirmations are the reference standard for production.
The buyer confirms that it has the rights and permissions required for all artwork, trademarks, characters, logos, designs and other materials it supplies or asks us to use. The buyer is also responsible for identifying destination-market requirements that apply to its product. Mifaktory will support reasonable compliance discussions during development, but product-specific requirements must be confirmed in writing before production.
These terms and project-related matters are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong SAR have jurisdiction over disputes, unless the parties agree otherwise in writing.
